Terms of Service

These Terms of Service ("Terms") govern your access to and use of PingScalate ("Service"), operated by Sentio Ltd ("Sentio", "Company", "we", "our", or "us").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

PingScalate is a website, endpoint, API, and service monitoring platform that provides monitoring, alerting, notification, reporting, and related functionality.

We may modify, suspend, discontinue, add, or remove features of the Service at any time without prior notice.

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Service.

By using the Service, you represent and warrant that you meet these requirements.

To use certain features of the Service, you may be required to create an account.

You are responsible for: maintaining the confidentiality of your account credentials; restricting access to your account; all activities conducted under your account.

You agree to provide accurate and complete registration information and to keep such information updated.

We may suspend or terminate accounts containing false, misleading, or incomplete information.

You agree not to: use the Service in violation of any applicable law or regulation; attempt to gain unauthorized access to any system or network; interfere with the operation of the Service; circumvent security measures; reverse engineer, decompile, or attempt to extract source code from the Service; use the Service to conduct attacks, scanning, scraping, denial-of-service activity, or abusive monitoring; use the Service in any manner that may damage, disable, or impair the Service; use the Service for unlawful, fraudulent, harmful, or deceptive purposes.

We reserve the right to suspend or terminate accounts that violate these Terms.

You are solely responsible for ensuring that you have all necessary rights, permissions, and authorizations to monitor any website, domain, URL, endpoint, API, server, or service that you add to PingScalate.

Sentio Ltd does not verify ownership, authorization, or permission to monitor any target.

You assume full responsibility for all monitoring activity conducted through your account.

You retain ownership of any URLs, endpoints, monitoring targets, configurations, settings, and other information you submit to the Service.

You grant Sentio Ltd a worldwide, non-exclusive, royalty-free license to process, store, transmit, and use such information solely for the purpose of operating and improving the Service.

PingScalate may offer free plans, paid plans, or both.

Features, limits, and pricing may change at any time.

We reserve the right to modify, discontinue, or replace any plan offering.

Certain features may require payment.

Payments may be processed by third-party payment providers, including Paddle.

By purchasing a paid subscription, you authorize the applicable payment provider to charge your selected payment method.

Subscription fees are billed in advance and automatically renew unless cancelled.

You are responsible for all applicable taxes, VAT, GST, sales taxes, duties, or similar governmental charges associated with your use of the Service.

You may cancel your subscription at any time.

Cancellation prevents future renewals but does not entitle you to a refund for any amounts already paid.

Your subscription will remain active until the end of the current billing period.

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

While we strive to provide a reliable service, we do not guarantee: continuous operation; uninterrupted service; error-free operation; detection of every outage, incident, or failure; delivery of every notification or alert; availability of any specific feature.

Monitoring systems, cloud infrastructure, internet providers, DNS providers, email systems, Slack, and other third-party services can fail.

You acknowledge that the Service may experience interruptions, maintenance, outages, delays, inaccuracies, or failures.

You should independently verify all monitoring results, alerts, notifications, and reports.

The Service is intended as a monitoring tool and should not be the sole basis for operational, business, technical, or financial decisions.

The Service is not designed, intended, or certified for use in: emergency services; healthcare or medical systems; aviation systems; transportation safety systems; military systems; nuclear facilities; critical infrastructure; life-support systems; any environment where failure of the Service could result in death, personal injury, property damage, environmental damage, or significant financial loss.

Any such use is entirely at the user's own risk.

The Service, including all software, code, designs, graphics, trademarks, logos, content, and technology, is owned by Sentio Ltd or its licensors and is protected by intellectual property laws.

Except as expressly permitted by these Terms, no rights are granted to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

SENTIO LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING: MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY; RELIABILITY; AVAILABILITY.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: SENTIO LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION: LOST PROFITS; LOST REVENUE; LOST BUSINESS OPPORTUNITIES; LOST DATA; BUSINESS INTERRUPTION; REPUTATIONAL DAMAGE; COST OF SUBSTITUTE SERVICES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PINGSCALATE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IF YOU HAVE NEVER PAID FOR THE SERVICE, OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

You agree to defend, indemnify, and hold harmless Sentio Ltd and its officers, directors, employees, contractors, affiliates, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from: your use of the Service; your violation of these Terms; your violation of applicable laws; your monitoring of systems without authorization; content or information submitted through your account.

We may suspend or terminate your access to the Service immediately if: you violate these Terms; we suspect unlawful activity; we suspect abuse of the Service; we are required to do so by law; we discontinue the Service.

Termination may result in deletion of account data and monitoring configurations.

Your use of the Service is also governed by our Privacy Policy.

We may update these Terms from time to time.

Updated versions will be posted on our website with a revised "Last Updated" date.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

These Terms shall be governed by and interpreted under the laws of the State of Israel, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Israel.
